COMPANY INCORPORATION

Commonly Asked Question

Hong Kong company law requires each company to have:

  • a share capital of at least HKD1 (there is no maximum amount).
  • a minimum of one shareholder who can be an individual or a company.
  • a minimum of one director who can be the same individual as the shareholder.
  • a Hong Kong resident company secretary who is responsible for maintaining the company’s statutory records and attending to filings at the Companies Registry (this is included in all of our incorporation packages).
  • a Hong Kong registered office address for receipt of government mail and notices (this is included in all of our incorporation packages).
  • a Significant Controllers Register which must be kept at the registered office for inspection by the Hong Kong authorities and provides details of any individual with a 25% or more ownership interest in the company or any individual who can exercise control over the company (this is included in all of our incorporation packages).
  • a Hong Kong resident designated representative to maintain the Significant Controllers Register and to liaise with the Hong Kong authorities (this is included in all of our incorporation packages).

Please note the shareholder and director can be any nationality and they are not required to be resident in Hong Kong.

Step 1

Please take a few minutes to complete our incorporation form by providing your intended company name, choose your incorporation package, provide brief details of your intended business activity, provide the name and address of the shareholder and director and email to us. 

Step 2

Manson will check the availability of your company name, If the intended company name is not available, Manson will inform you immediately.

Step 3

After Manson receive your payment, Manson will prepare the electronic incorporation from and submit to Companies Registry after all required documents are obtained.

Step 4

Within 3 hours after submission, Manson will send you electronic Certificate of Incorporation (“CI”) and electronic Business Registration (“BR”).

Step 5

You can now commence the process to open traditional business bank account or with a virtual bank in Hong Kong or with a overseas bank.

In order to incorporate a Hong Kong company you will need to

  • complete all sections of our incorporation form.
  • provide a copy of each members and each directors passport.
  • provide a copy of a utility bill or bank statement dated within the last 60 days showing each members and each directors current residential address.

Further documents may be required dependent on the nature of business of the new company.

Company Name

No. There are some restrictions on the registration of company names. Generally speaking, a company name will not be registered if:

  1. 
it is the same as a name appearing in the Index of Company Names kept by the Registrar of Companies (“the Registrar”);
  2. it is the same as that of a body corporate incorporated or established under an Ordinance;
  3. in the opinion of the Registrar, its use would constitute a criminal offence; or
  4. in the opinion of the Registrar, it is offensive or otherwise contrary to the public interest.

In determining whether a company name is “the same as” another, certain words and their abbreviations will be disregarded. These words include the definite article where it is the first word of a name and the words “company”, “and company”, “company limited”, “and company limited”, “limited”, “unlimited”, “public limited company”, the characters “公司”, “有限公司”, “無限公司” and “公眾有限公司” where they appear at the end of the name. The type or cases of letters, spaces between letters, accent marks, and punctuation marks, will be disregarded.

The following expressions “and” and “&”, “Hongkong”, “Hong Kong”, and “HK”, “Far East” and “FE” are respectively to be taken as the same.

You may conduct a company name search free of charge through the Companies Registry’s Cyber Search Centre or Company Search Mobile Service or at its Public Search Centre on the 13th floor of the Queensway Government Offices, 66 Queensway, Hong Kong.

No. A company name with a combination of English words/letters and Chinese characters will NOT be registered.

No. The Chinese company name of a local company must be in traditional Chinese characters.

Yes, a company may be registered with a Chinese name only. A company may also be registered with an English name only or both an English name and a Chinese name.

No. Although the word “Ltd” is considered to be the same as “Limited”, section 102 of the Companies Ordinance requires that the last word of an English company name of a limited company must be “Limited” .

Non-compliance with the change of name direction issued by the Registrar of Companies may result in the prosecution of the company and/or its officers. The maximum penalty for failure to comply is a fine of $100,000, as well as a daily default fine of $2,000 for continuing default. The Registrar may also change the company name with the company registration number.

Incorporation

Yes. Non-Hong Kong residents may incorporate a local limited company in Hong Kong. If you do not often stay in Hong Kong or you are not familiar with the incorporation procedures, it is advisable for you to contact some local professional firms e.g. solicitors, accountancy or secretarial firms etc. for advice and/or appoint them to act on your behalf to set up a company in Hong Kong.

The Companies Ordinance has not prescribed any requirement for the number of shares proposed to be issued. The articles of a company with a share capital may state the maximum number of shares that the company may issue (section 85(2)). A local company limited by shares shall be formed by at least one founder member.

There is no requirement on the minimum amount of a company’s paid-up capital under the Companies Ordinance.

No. The registered office must be situated in Hong Kong.

A private company must have a company secretary and at least one director who is a natural person (i.e. an individual). The sole director of a private company must not also be the company secretary. A private company having only one director must not have a body corporate as its company secretary if the sole director of that body corporate is also the sole director of the private company.

A public company or a company limited by guarantee must have a company secretary and at least two directors, one of whom may be the company secretary. It must not have a body corporate as its director.

If the company secretary is a natural person, he or she must ordinarily reside in Hong Kong. If the company secretary is a body corporate, the address of its registered or principal office should be in Hong Kong. There is no requirement under the Companies Ordinance that a director must be a Hong Kong resident.
